Riverside FC Constitution
Riverside Football Club (NPC) is a non-profit company incorporated in the Republic of South Africa under registration number 2025/642244/08. This Constitution sets out the governing principles of the Club.
1. Name & Legal Status
The name of the organisation is Riverside Football Club (NPC), a non-profit company incorporated in the Republic of South Africa under registration number 2025/642244/08 ("the Club").
The Club operates on a non-profit basis and is governed by this Constitution and the applicable provisions of the Companies Act.
2. Objectives
The objectives of Riverside Football Club NPC are to:
- Promote and develop football across all age groups within the community.
- Provide a safe, inclusive, and well-governed sporting environment.
- Develop players, coaches, officials, and administrators.
- Participate in organised football competitions and leagues.
- Manage the Club responsibly, transparently, and in the best interests of its members.
3. Non-Profit Principles
All income and property of the Club shall be applied solely towards the promotion of its objectives.
No portion of the funds or assets of the Club shall be paid or transferred directly or indirectly to any director, member, or office bearer, except as reasonable compensation for services rendered to the Club in furtherance of its objectives.
4. Membership
Membership of the Club shall be open to players, parents or guardians, coaches, officials, and supporters, subject to compliance with the rules, policies, and codes of conduct adopted by the Club.
5. Governance, Directors & Committee
The affairs of the Club shall be managed by an Executive Committee ("Exco"), responsible for the day-to-day administration and operation of the Club.
The Club shall also have a Board of Directors, comprising a subset of the Exco, who serve as Directors of the non-profit company for governance and statutory purposes in terms of the Companies Act.
The Executive Committee ("Exco") is responsible for:
- Strategic oversight.
- Financial control.
- Compliance and governance.
- Day-to-day operational decisions.
The Executive Committee shall include, but not be limited to, the following positions:
- Chairman
- Vice-Chairman(s)
- Club Secretary
- Treasurer
- Head of Football
- Marketing & Communications
6. Financial Management
- All funds of the Club shall be used solely to further its objectives.
- The Treasurer shall oversee the financial affairs of the Club.
- The Committee shall approve the opening and operation of bank accounts and payment gateways in the name of the Club.
- The Committee may appoint authorised signatories and define approval requirements for financial transactions.
7. Meetings
Committee meetings shall be held as required to ensure proper governance and effective management of the Club.
8. Amendments
This Constitution may be amended by a majority decision of the Committee, provided that such amendments remain consistent with the non-profit nature of the Club.
9. Dissolution
In the event of dissolution of Riverside Football Club (NPC), any remaining assets shall be transferred to another registered non-profit organisation or non-profit company with similar objectives.
No assets shall be distributed to any director, member, or office bearer of the Club.
This Constitution was adopted by the Directors of Riverside Football Club NPC on 16 November 2024 at Durban North, and ratified by Directors' Resolution on 22 January 2026.
